TERMS AND CONDITIONS OF SALE & EQUIPMENT RENTAL
SECURITY TECHNOLOGIES SAN DIEGO INC.
1. Scope of Services
Security Technologies San Diego Inc. ("Provider") supplies AI-powered security monitoring solutions, including cameras, recording equipment, and related systems ("Equipment"), on a rental basis. Services include 24/7 monitoring, event detection, and response coordination where applicable.
2. Equipment Ownership
All equipment provided remains the sole property of the Provider at all times. The Client is granted a limited right to use the Equipment for the duration of the rental agreement.
3. Client Responsibilities
The Client agrees to:
- Exercise reasonable care to safeguard and protect the Equipment from damage, theft, misuse, or unauthorized access.
- Maintain a secure environment where the Equipment is installed.
- Promptly notify the Provider of any damage, malfunction, or suspicious activity involving the Equipment.
- Ensure continuous power and, where applicable, internet connectivity to support system functionality.
4. Access for Service and Maintenance
The Client shall provide the Provider with timely and reasonable access to the Equipment for purposes including, but not limited to:
- Troubleshooting
- Maintenance
- Inspections
- Repairs and upgrades
Failure to provide access may impact system performance and service obligations.
5. Condition and Return of Equipment
The Client agrees to return all Equipment at the end of the rental period in the same condition as received, reasonable wear and tear excepted. The Client may be held financially responsible for any loss, damage, or excessive wear beyond normal use.
6. Monitoring and Response
Where monitoring services are included, the Provider will perform real-time monitoring and event response according to the agreed service level. The Provider may attempt to contact the Client in the event of an alert prior to dispatching emergency services, unless otherwise specified.
7. Insurance
The Provider maintains appropriate insurance coverage for its operations and services. However, the Client is responsible for maintaining any additional insurance coverage deemed necessary for the location, property, or associated risks.
8. Liability Limitation
The Provider shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of property, revenue, or business interruption. The Provider does not guarantee prevention of all security incidents.
9. Payment Terms
Rental fees, monitoring services, and any additional charges are due as outlined in the invoice or agreement. Late payments may result in service suspension or additional fees.
10. Termination
Either party may terminate the agreement in accordance with the agreed terms. Upon termination, all Equipment must be returned promptly to the Provider.
11. Indemnification
The Client agrees to indemnify and hold harmless the Provider against any claims, damages, or liabilities arising from misuse of the Equipment or failure to comply with these terms.
12. Governing Law
These terms shall be governed by the laws of the State of California.
13. Entire Agreement
These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements or understandings.
